General Terms and Conditions of Sale (GTC)
These General Terms and Conditions of Sale (GTC) govern all sales of containers and associated equipment concluded between Eurocontex and its customers, whether professionals or individuals, within the European Union. Any order implies full and unreserved acceptance of these GTC.
1. Offers and validity
All our offers and quotes are valid for 30 calendar days from the date of issue, unless expressly stated otherwise. Prices are quoted in euros (EUR) excluding VAT, then including VAT. Eurocontex reserves the right to change its prices at any time; the applicable prices are those in effect on the date of the order.
2. Order
All orders must be confirmed in writing (email, signed order form). The sale is only definitively concluded upon receipt by Eurocontex of the order confirmation and payment of any required deposit. Eurocontex reserves the right to refuse any order without having to justify its decision.
3. Price and payment
Prices are exclusive of taxes, transport and handling charges, unless otherwise stated. Payment terms are as follows:
• Business customers: 50% deposit upon order, sold before collection or delivery, unless otherwise agreed in writing
• Individuals: full payment upon ordering
Accepted payment methods are: SEPA bank transfer, bank check, and credit card (subject to availability). Any late payment will incur late payment interest at the prevailing legal rate plus 5 points, as well as a fixed recovery fee of EUR 40 in accordance with Article 6 of Directive 2011/7/EU.
4. Transfer of ownership and risks
Ownership of the goods transfers only upon full payment of the price. Risk of loss or damage transfers upon delivery or collection, depending on the agreed Incoterms.
5. Legal Guarantees
In accordance with Directive 2019/771/EU on the sale of goods (transposed into the national law of each Member State), consumers benefit from a legal guarantee of conformity for two years from the date of delivery. The seller is liable for any lack of conformity existing at the time of delivery.
Any commercial warranty offered by Eurocontex is separate from and complementary to these legal warranties.
6. Responsibility
Eurocontex's liability is limited, to the extent permitted by applicable law, to the amount of the relevant purchase order. Eurocontex shall not be liable for indirect damages, operating losses, or lost profits.
7. Right of withdrawal (consumer clients)
In accordance with Directive 2011/83/EU and its national implementing legislation, consumer customers have 14 calendar days from the date of receipt of the goods to exercise their right of withdrawal, without having to justify their decision or incur any penalties. This right does not apply to containers manufactured or modified according to the customer's specifications.
8. Applicable Law and Disputes
These Terms and Conditions are governed by the law of the Member State where Eurocontex is established. In the event of a dispute, the parties will seek an amicable solution before resorting to legal action. Consumers may also use the European Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr
